Helena Vosberg advises boards and controlling shareholders on transactions that change what a company is: carve-outs of divisions that have run themselves for decades, joint ventures between competitors who will still be competitors afterward, and the negotiated separations that follow when those arrangements stop working.
She has led the firm since 2019. Her practice did not stop when she took the role, which was a condition of her accepting it; she continues to run two or three significant transactions a year on the view that a managing partner who no longer practices soon stops understanding what the firm is asking of its lawyers.
Clients tend to bring her the deals with an unresolved question at the center — a valuation nobody can defend, a regulator who has not yet been approached, a family shareholder who has not agreed to anything. She is direct about which of those problems must be solved before signing and which can be documented and lived with.
