Industry
A large share of the industrial companies we advise are controlled by families, which changes the transaction, the governance, and often the timetable.
Sector contacts
We act for manufacturers, industrial groups, distributors, and consumer businesses on acquisitions and disposals, carve-outs, supply and distribution arrangements, employment, and succession.
The distinguishing feature of the sector, for us, is ownership. Where a company is family-controlled, a transaction is also a governance event and sometimes a succession event, and advice that addresses only the first will be overtaken by the other two. Our corporate and private client teams routinely staff these matters together for that reason.
What clients are contending with
Shareholder registers expand generationally while the governing documents do not. Deadlock is usually structural rather than personal.
Divisions that have shared systems and people for decades cannot be separated on paper alone. Transitional arrangements are the real negotiation.
Third-party distributors create anti-corruption exposure that surfaces in diligence, often years after the arrangement began.
Practice Areas
Acquisitions, carve-outs, joint ventures, and the governance that has to survive them.
Succession, governance, and philanthropy for families whose principal asset is a business.
Senior transitions, restrictive covenants, workplace investigations, and the employment side of transactions.
Litigation and international arbitration in matters where the outcome changes the business.
Representative Matters
A specialty materials division across nine countries, sold to a private capital buyer with sixty percent of its operations still running on the parent's systems.
Thirty-one shareholders, four of whom worked in the business, and a governing document written in 1974.
Speak to the firm
Describe the matter in general terms and name the parties involved. We run a conflicts check, usually within two business days, and a partner in the relevant practice will call you. The first conversation is not charged.
